  1. ACCEPTANCE OF TERMS

Welcome to STAYFLIX. By accessing or using our platform, you
agree to be bound by these Terms of Service ("Terms"), our
Privacy Policy, and all applicable laws and regulations.

If you do not agree with these Terms, do not use STAYFLIX.

1.1 WHO CAN USE STAYFLIX

You must be:

  • At least 18 years old

  • Legally able to enter into binding contracts

  • Not prohibited from using our services under applicable law

If you use STAYFLIX on behalf of a business, you represent that
you have authority to bind that business to these Terms.

  1. DESCRIPTION OF SERVICE

2.1 WHAT STAYFLIX PROVIDES

STAYFLIX is a software platform that enables vacation rental
hosts ("Hosts" or "you") to:

  • Create branded booking websites for their properties

  • Accept direct bookings from guests

  • Process payments through Stripe

  • Manage availability calendars

  • Communicate with guests

2.2 WHAT STAYFLIX DOES NOT PROVIDE

STAYFLIX is a technology platform only. We do not:

  • Own, operate, or manage any properties

  • Act as a real estate broker or agent

  • Guarantee bookings or guest behavior

  • Provide insurance or liability coverage

  • Verify guest identities

  • Resolve disputes between Hosts and guests

  • Provide legal, tax, or financial advice

You are solely responsible for your hospitality business,
properties, guest relationships, and compliance with all
applicable laws.

  1. ACCOUNT REGISTRATION

3.1 CREATING YOUR ACCOUNT

To use STAYFLIX, you must:

  • Provide accurate, complete, and current information

  • Maintain the security of your account credentials

  • Promptly update any changes to your information

  • Accept responsibility for all activity under your account

3.2 ACCOUNT SECURITY

You are responsible for:

  • Maintaining the confidentiality of your password

  • All activities that occur under your account

  • Notifying us immediately of unauthorized access

We are not liable for losses caused by unauthorized use of
your account.

3.3 ONE ACCOUNT PER USER

You may only create one account. Multiple accounts may be
terminated without refund.

  1. SUBSCRIPTION AND PAYMENT

4.1 PRICING

Current pricing is available at stayflix.io/pricing. Prices
are subject to change with 30 days' notice to active
subscribers.

Founding Members who join during the initial launch period
lock in their pricing for life, as specified at time of
signup.

4.2 BILLING
  • Subscriptions are billed monthly or annually in advance

  • Payment is processed through Stripe

  • Fees are non-refundable except as required by law

  • You authorize us to charge your payment method

4.3 PAYMENT PROCESSING

All guest payments on your booking website are processed
directly through Stripe . STAYFLIX does not:

  • Handle guest payments

  • Take commission on bookings

  • Have access to guest payment information

  • Bear responsibility for payment disputes

You are responsible for:

  • Maintaining a valid Stripe account

  • Complying with Stripe's Terms of Service

  • Resolving payment disputes with guests

  • Paying applicable taxes on your bookings

4.4 LATE PAYMENTS

If payment fails:

  • We will attempt to re-charge your payment method

  • Your account may be suspended after 7 days

  • Your account may be terminated after 30 days

  • You remain liable for all unpaid fees

4.5 REFUND POLICY

Subscription fees are non-refundable except:

  • Within 14 days of initial signup (money-back guarantee)

  • If we fail to provide the service as described

  • As required by applicable law

  1. YOUR RESPONSIBILITIES AS A HOST

5.1 PROPERTY LISTINGS

You represent and warrant that:

  • You have legal authority to list and rent your properties

  • All property information is accurate and current

  • Photos and descriptions are truthful and not misleading

  • Pricing and availability are accurate

  • You comply with all local laws and regulations

5.2 LEGAL COMPLIANCE

You are solely responsible for:

  • Obtaining necessary licenses and permits

  • Paying all applicable taxes

  • Complying with zoning and short-term rental laws

  • Meeting safety and building code requirements

  • Carrying appropriate insurance

  • Complying with fair housing and anti-discrimination laws

5.3 GUEST RELATIONSHIPS

You are solely responsible for:

  • Screening and accepting guests

  • Property condition and cleanliness

  • Guest safety and security

  • Providing advertised amenities

  • Resolving disputes with guests

  • Handling cancellations and refunds

  • Guest communications and support

5.4 PROHIBITED LISTINGS

You may not list properties that:

  • You do not have legal authority to rent

  • Violate local laws or regulations

  • Are unsafe or uninhabitable

  • Are used for illegal activities

  • Discriminate based on protected characteristics

  1. INTELLECTUAL PROPERTY

6.1 STAYFLIX INTELLECTUAL PROPERTY

All content, features, and functionality of STAYFLIX, including:

  • Software and code

  • Design and layout

  • Logos and trademarks

  • Text and graphics

are owned by STAYFLIX or its licensors and protected by
copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or distribute our software

  • Reverse engineer or decompile our platform

  • Remove copyright or trademark notices

  • Use our trademarks without permission

6.2 YOUR CONTENT

You retain ownership of all content you upload to STAYFLIX:

  • Property photos and descriptions

  • Business name and logo

  • Guest data collected through your booking site

By using STAYFLIX, you grant us a license to:

  • Host and display your content

  • Process and store your data

  • Backup and secure your information

  • Use anonymized data for analytics

This license ends when you delete your account, except for:

  • Backup copies (deleted within 90 days)

  • Anonymized analytics data

6.3 GUEST DATA

Guest data collected through your booking website (names,
emails, booking details) belongs to you. You must:

  • Handle guest data in compliance with privacy laws

  • Maintain appropriate security measures

  • Use data only for legitimate business purposes

  • Obtain necessary consents from guests

  1. PROHIBITED ACTIVITIES

You may not use STAYFLIX to:

7.1 ILLEGAL ACTIVITIES
  • Violate any local, state, national, or international law

  • Facilitate illegal activities at your properties

  • Engage in fraud or deceptive practices

7.2 HARMFUL CONTENT
  • Upload malicious code, viruses, or malware

  • Publish false, misleading, or defamatory content

  • Violate intellectual property rights of others

  • Share inappropriate or offensive content

7.3 PLATFORM ABUSE
  • Attempt to gain unauthorized access to our systems

  • Interfere with or disrupt our services

  • Use automated tools to access our platform (without permission)

  • Create multiple accounts to circumvent restrictions

  • Resell or redistribute our services without authorization

7.4 DISCRIMINATION
  • Discriminate based on race, religion, gender, disability,
    sexual orientation, or other protected characteristics

  • Violate fair housing laws

  1. SERVICE AVAILABILITY

8.1 UPTIME

We strive to provide reliable service but do not guarantee:

  • Uninterrupted or error-free service

  • Zero downtime or maintenance windows

  • Compatibility with all devices or browsers

8.2 MAINTENANCE

We may temporarily suspend service for:

  • Scheduled maintenance (with advance notice when possible)

  • Emergency maintenance or security updates

  • Technical issues or outages

8.3 THIRD-PARTY SERVICES

STAYFLIX relies on third-party services (Stripe, hosting
providers, email services). We are not responsible for their
failures or downtime.

  1. DISCLAIMERS AND LIMITATION OF LIABILITY

9.1 WARRANTY DISCLAIMER
STAYFLIX IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT
WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:
  • Merchantability or fitness for a particular purpose

  • Non-infringement of third-party rights

  • Uninterrupted or error-free operation

  • Accuracy or reliability of content

  • Results or outcomes from using the service

9.2 LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYFLIX AND ITS
OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE
LIABLE FOR:
  • Indirect, incidental, or consequential damages

  • Lost profits, revenue, or business opportunities

  • Loss of data or business interruption

  • Damages arising from third-party services

  • Guest disputes or property damage

  • Legal violations or regulatory fines

  • Any damages exceeding the amount you paid us in the
    12 months before the claim

This limitation applies even if we were advised of the
possibility of such damages.

9.3 EXCEPTIONS

Some jurisdictions do not allow limitation of certain
warranties or damages. In such cases, our liability is
limited to the maximum extent permitted by law.

  1. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless STAYFLIX
and its officers, directors, employees, and agents from any
claims, losses, damages, liabilities, and expenses (including
legal fees) arising from:

  • Your use of STAYFLIX

  • Your property listings and rentals

  • Your violation of these Terms

  • Your violation of any laws or regulations

  • Guest disputes or injuries

  • Property damage or accidents

  • Infringement of third-party rights

  • Your content or data

  1. TERMINATION

11.1 TERMINATION BY YOU

You may cancel your account at any time through your account
settings or by contacting hello@stayflix.io.

  • Cancellation is effective at the end of your billing period

  • No refunds for partial months (except initial 14-day guarantee)

  • You remain responsible for unpaid fees

11.2 TERMINATION BY US

We may suspend or terminate your account immediately if:

  • You violate these Terms

  • Your payment fails repeatedly

  • You engage in prohibited activities

  • Required by law or regulatory authorities

  • Your account is inactive for 12+ months

Upon termination:

  • You lose access to your account and booking website

  • Your booking website goes offline immediately

  • You must download your data within 30 days

  • We may delete your data after 90 days

11.3 EFFECT OF TERMINATION

After termination:

  • All license rights granted to you end immediately

  • You must cease using STAYFLIX

  • Provisions that should survive (liability, indemnification,
    disputes) remain in effect

  1. DISPUTES AND GOVERNING LAW

12.1 GOVERNING LAW

These Terms are governed by the laws,
without regard to conflict of law principles.

12.2 DISPUTE RESOLUTION

Before filing any legal claim, you agree to:

  2. Describe the dispute in detail

  3. Attempt good faith resolution for 60 days

12.3 JURISDICTION

For disputes not resolved through the above process, you agree
to the exclusive jurisdiction of courts in USA.

12.4 CLASS ACTION WAIVER (CONSULT LAWYER)

You agree to resolve disputes individually, not as part of a
class action, collective action, or representative proceeding.

  1. CHANGES TO TERMS

13.1 RIGHT TO MODIFY

We may update these Terms at any time. Changes become effective:

  • Immediately for new users

  • 30 days after notice for existing users

13.2 NOTIFICATION

We will notify you of material changes via:

  • Email to your registered address

  • Notice on our website

  • In-app notification

13.3 CONTINUED USE

Your continued use of STAYFLIX after changes means you accept
the updated Terms. If you disagree, you must stop using STAYFLIX
and cancel your account.

  1. GENERAL PROVISIONS

14.1 ENTIRE AGREEMENT

These Terms, along with our Privacy Policy and any additional
terms, constitute the entire agreement between you and STAYFLIX.

14.2 SEVERABILITY

If any provision is found unenforceable, the remaining provisions
continue in full effect.

14.3 WAIVER

Our failure to enforce any provision does not waive our right to
enforce it later.

14.4 ASSIGNMENT

You may not assign or transfer these Terms without our consent.
We may assign these Terms without restriction.

14.5 NO THIRD-PARTY BENEFICIARIES

These Terms do not create rights for any third parties.

14.6 FORCE MAJEURE

We are not liable for delays or failures caused by circumstances
beyond our reasonable control (natural disasters, war, pandemics,
internet outages, etc.).

14.7 RELATIONSHIP

Nothing in these Terms creates a partnership, joint venture,
employment, or agency relationship between you and STAYFLIX.

14.8 NOTICES

Legal notices to STAYFLIX must be sent to:

We will send notices to the email associated with your account.

  • "STAYFLIX," "we," "us," "our" refers to GENNEX

  • "Host," "you," "your" refers to users who create accounts

  • "Guest" refers to individuals who book through Host websites

  • "Service" or "Platform" refers to the STAYFLIX software and services

  • "Content" refers to text, images, data, and other materials

  • "Stripe" refers to Stripe, Inc., our payment processor
